Hong Kong, June 16, 2025 -- The Hongkong and Shanghai Hotels, Limited (HSH) is pleased to announce that it has successfully issued its debut Private Samurai Bond offering on 6 June 2025. The Japanese Yen (JPY) 16 billion (approximately USD 112 million) Private Samurai Bonds are rated A by both the Japan Credit Rating Agency, Ltd and Rating & Investment Information, Inc. The transaction, jointly arranged by Mizuho Securities Co., Ltd. and SMBC Nikko Securities Inc., was issued by Peninsula Tokyo Finance Services Limited and is fully guaranteed by HSH.

The proceeds will be used for refinancing, capital expenditure and general working capital in connection with the operation of The Peninsula Tokyo. It also diversifies HSH’s funding channels by engaging long-term institutional investors in the Japanese bond market.

Despite recent market volatility driven by global macroeconomic uncertainty, HSH received strong interest from investors with the longest tenor offering up to six years which demonstrated HSH’s effective funding strategy of optimising its debt maturity profile.

“This successful bond issue reflects the confidence investors have in our long-term strategy and financial strength,” said Mr Benjamin Vuchot, Chief Executive Officer of HSH. “It also enhances our financial flexibility as we continue to invest in the future of our business.”

Questions around this news

  1. What are Samurai bonds?

Samurai bonds are yen-denominated bonds issued in Japan by a borrower from outside the country. They are generally sold to investors in the Japanese market and are subject to relevant local rules. Issuers may use them to reach Japanese investors or diversify their funding sources.

  2. How will the bond proceeds be used?

The release says the proceeds are intended for refinancing, capital expenditure and general working capital connected with operating The Peninsula Tokyo. It also describes the offering as a way to diversify the company’s funding channels by reaching long-term institutional investors in Japan’s bond market.

  3. What does it mean for a bond to be fully guaranteed by a parent company?

A full guarantee generally means the guarantor commits to meet the bond issuer’s payment obligations if the issuer cannot do so. The precise obligations depend on the guarantee documents. In this offering, the release identifies Peninsula Tokyo Finance Services Limited as issuer and says the bonds are fully guaranteed by its parent company.

  4. What does bond tenor mean?

Tenor is the period from a debt instrument’s issuance until its scheduled maturity or repayment date. A bond offering may include different tenors, allowing an issuer to spread repayment dates over time. The release says this offering included a longest tenor of up to six years.

  5. What is a debt maturity profile?

A debt maturity profile shows when an organisation’s borrowings are scheduled to come due. Managing that profile can involve balancing repayment dates across time, rather than having a large portion of debt mature at once. The release links the offering’s longest tenor with optimising the company’s debt maturity profile.
